8. Carrier Liability
Carriers are not liable for delayed or undelivered messages.
SMS delivery depends on mobile carriers, networks, devices, and other systems outside the complete control of RUNX INC.
RUNX INC does not guarantee delivery of every SMS message.

12. Client Responsibilities
Clients are responsible for:
- providing accurate business information;
- providing accurate information regarding their products, services, employment opportunities, compensation, and offers;
- reviewing and approving applicable campaign materials;
- maintaining required licenses, registrations, permissions, and insurance;
- complying with laws applicable to their business;
- obtaining required permissions and consents;
- maintaining access to required accounts and systems;
- responding to inquiries in a timely manner; and
- ensuring claims and information supplied to RUNX INC are accurate and supportable.
RUNX INC may rely on information supplied by clients when creating advertisements, websites, communications, AI instructions, automations, workflows, and other materials.
13. Communication Compliance
When RUNX INC provides tools, systems, or services that allow clients to communicate with their own leads, candidates, customers, employees, or other contacts, the client remains responsible for:
- determining whether communications are lawful;
- obtaining applicable consent;
- maintaining appropriate consent records;
- honoring opt-out requests;
- providing accurate information;
- complying with applicable calling, texting, email, advertising, privacy, employment, and consumer protection requirements; and
- complying with applicable third-party platform rules.
RUNX INC may restrict or suspend workflows or services that appear unlawful, abusive, deceptive, or inconsistent with applicable platform or carrier requirements.
14. Third-Party Platforms and Services
RUNX INC services may rely on third-party providers, including:
- advertising networks;
- social media platforms;
- CRM systems;
- phone and SMS providers;
- email providers;
- AI providers;
- automation platforms;
- hosting and cloud services;
- analytics providers;
- payment processors;
- domain providers; and
- integration services.
Third-party services are governed by their own terms, policies, pricing, functionality, and availability.
RUNX INC is not responsible for third-party outages, policy changes, account restrictions, advertising account decisions, carrier filtering, API changes, or other circumstances outside our reasonable control.
15. Fees and Payment
Fees, payment schedules, subscriptions, advertising budgets, third-party costs, cancellation terms, and refund terms may be defined in a separate proposal, invoice, order form, or service agreement.
Unless otherwise agreed in writing:
- advertising spend is separate from RUNX INC service fees;
- third-party software and communication costs may be billed separately;
- clients are responsible for charges incurred through client-owned accounts; and
- work may not begin until required payments, information, and account access have been received.
16. Intellectual Property
The RUNX INC website, branding, designs, graphics, text, software components, documentation, systems, workflows, and other original materials are owned by RUNX INC or its licensors unless otherwise stated.
Such materials may not be copied, reproduced, distributed, modified, resold, or commercially used without permission except as permitted by law or a separate written agreement.
Ownership and usage rights relating to client-specific deliverables may be governed by the applicable service agreement.
17. Acceptable Use
You may not use the RUNX INC website or services to:
- violate applicable laws or regulations;
- send unlawful, deceptive, abusive, or unauthorized communications;
- submit false or misleading information;
- impersonate another person or organization;
- distribute malicious software;
- interfere with system security or operation;

- engage in fraudulent, abusive, or harmful conduct.
18. Suspension or Termination

To the maximum extent permitted by applicable law, RUNX INC shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to use of the website, services, communications, third-party platforms, or circumstances outside our reasonable control.
